Vendor Terms & Conditions
These Vendor Terms & Conditions (“Vendor Terms”) govern your participation as a Vendor on the Built By Us marketplace and community, operated by Built By Us LLC (“Built By Us,” “we,” “us,” or “our”). By purchasing a membership and listing your business, you (“Vendor,” “you”) agree to these Vendor Terms, in addition to our general Terms of Use and Privacy Policy.
1. Eligibility and Membership
To list and sell on Built By Us, you must be a woman-owned business and hold an active, paid Built By Us membership. Membership is offered in three tiers — The Builders, The Innovators, and The Inner Circle — each of which includes a set number of listings and a set of benefits described on our Site. Your tier determines how many products or services you may list and the visibility and access you receive.
By listing on Built By Us, you represent that your business is genuinely woman-owned and that the information you provide to us is accurate. We may request reasonable verification, and we may remove your listings or membership if we believe this representation is untrue.
2. Your Listings and Responsibilities
You are solely responsible for your listings, your business, and your customer relationships. Specifically, you agree that:
- Your listings will be accurate, complete, and not misleading, and you have the right to sell everything you list;
- You will fulfill orders, deliver products and services, and handle all customer service, shipping, returns, and refunds directly with your customers;
- You will comply with all laws that apply to your business, including consumer-protection, advertising, product-safety, licensing, and tax laws;
- You are responsible for collecting and remitting any taxes that apply to your sales;
- You will honor the pricing, policies, and representations shown in your listings.
3. Payments — You Process Your Own Sales
Built By Us does not process your sales. All transactions with your customers run through your own platform and your own payment provider. Payment goes directly to you, and you retain control of your checkout, your customer relationship, and your income. Because we are not the merchant of record and never take custody of your sale proceeds, you are responsible for your own payment processing, chargebacks, disputes, and compliance with your payment provider’s rules.
4. Commission
Your membership grants you a place in the marketplace. In addition, the following per-sale commission applies to sales you make through your Built By Us marketplace presence:
- First six (6) months: No commission. You keep 100% of every sale while you get established.
- After six (6) months: A per-sale commission of fifteen percent (15%) for Builders and Innovators, and twelve percent (12%) for Inner Circle members.
The six-month commission-free period begins on [the start of your membership / your first listing — confirm]. We will provide the method and schedule for reporting and paying commission separately. You agree to keep accurate records of your qualifying sales and to pay commission owed in accordance with that process.
5. License to Display and Promote Your Content
By listing on Built By Us, you grant us a non-exclusive, royalty-free license to display, reproduce, and promote your listings, business name, logo, images, and descriptions on the Site and across our marketing channels — including our social media, blog, email list, and events — for the purpose of operating and promoting the marketplace and your inclusion in it (including the tier-based features such as “Meet Our Members” and featured placements). You retain ownership of your content, and this license ends when your content is removed, except for copies already distributed or retained for recordkeeping.
6. Prohibited Products and Conduct
You may not list or sell anything illegal, counterfeit, unsafe, or prohibited by law, or anything that infringes another party’s rights. You may not misrepresent your business, engage in deceptive practices, harass other members, or use the community or its data to solicit outside of the platform’s intended purpose. We reserve the right to remove any listing and to determine, in our reasonable discretion, what is appropriate for the marketplace.
7. Billing, Renewal, and Cancellation
Membership is billed quarterly or annually; we do not offer monthly billing. Your membership renews automatically at the end of each billing period unless you cancel. You may cancel at any time and will keep access through the end of your current billing period. Memberships are not prorated or refunded mid-term. If you cancel or your membership lapses, your listings and Vendor benefits will end.
8. Suspension and Termination
We may suspend or terminate your membership or remove your listings if you breach these Vendor Terms, if your representations to us are untrue, if you engage in conduct that harms the community or other members, or as otherwise permitted by law. You may also end your participation by cancelling your membership. Sections that by their nature should survive termination (including commission owed, licenses already granted, disclaimers, limitation of liability, and indemnification) will survive.
9. Independent Businesses
You and Built By Us are independent parties. Nothing in these Vendor Terms creates a partnership, joint venture, employment, agency, or franchise relationship. You have no authority to bind Built By Us, and Built By Us has no authority to bind you. You are solely responsible for your own business.
10. Warranties and Indemnification
You represent and warrant that you have the right to enter these Vendor Terms and to sell what you list, and that your business and listings comply with all applicable laws. You agree to indemnify and hold harmless Gadsby Media Group LLC and its owners, officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your listings, your products or services, your transactions with customers, or your breach of these Vendor Terms.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Built By Us LLC will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or revenue, arising out of or related to your participation as a Vendor. Our total liability for any claim relating to your participation will not exceed the membership fees you paid to us in the twelve (12) months before the claim arose.
12. Changes to These Vendor Terms
We may update these Vendor Terms from time to time. We will revise the “Last Updated” date above and, for material changes, provide reasonable notice. Your continued participation after changes take effect means you accept the updated Vendor Terms.
13. Governing Law and Disputes
These Vendor Terms are governed by the laws of the State of South Dakota, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in [County/State], and you consent to their jurisdiction.

Shopper Terms of Use
Welcome to Built By Us. These Terms of Use (“Terms”) govern your access to and use of the website located at builtbyus.co (the “Site”), operated by Built By Us LLC (“Built By Us,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. About Built By Us
Built By Us is an online marketplace and community that connects shoppers with independent, women-owned businesses (“Vendors”). We provide a platform where Vendors can list their products, services, courses, and coaching offerings, and where you can discover and connect with those businesses.
Built By Us is only a conduit — it is not the seller of any product or service listed on the Site.
Built By Us acts solely as a conduit that helps you discover and connect with independent Vendors. We do not sell, manufacture, store, ship, fulfill, or provide any of the products or services offered by Vendors; we do not process payments for them; and we are not a party to, and have no responsibility for, any transaction between you and a Vendor. Every purchase is made and completed directly with the Vendor, on the Vendor’s own platform, and is governed entirely by that Vendor’s own terms, pricing, payment processing, and policies. Any contract of sale is formed solely between you and the Vendor.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Site. By using the Site, you represent that you meet this requirement and that you have the legal capacity to agree to these Terms.
3. Purchases and Transactions with Vendors
When you choose to purchase a product or service you discover on Built By Us, you will complete that purchase directly through the Vendor’s own website, checkout, and payment system. As a result:
Your purchase contract is solely between you and the Vendor. Built By Us is not a party to it.
Payment is processed by the Vendor or the Vendor’s chosen payment provider — not by Built By Us. We do not collect or store your payment card details for Vendor purchases.
Returns, refunds, exchanges, shipping, delivery, and customer service are handled directly by each Vendor.
According to the policy shown on that Vendor’s listing or platform. If you have a question or problem with an order, please contact the Vendor first. If you are unable to resolve it, you may reach out to us and we will try to help, but we are not responsible for fulfilling or refunding Vendor orders.
4. No Endorsement or Warranty of Vendor Offerings
While we care deeply about the quality of our community, Built By Us does not independently verify, guarantee, or warrant the quality, safety, legality, or accuracy of any Vendor’s products, services, listings, or claims. All Vendors on the Site are members of the Built By Us community and have represented themselves to us as women-owned businesses; however, membership is not a guarantee of the quality or outcome of any product or service. Any reliance you place on Vendor listings is at your own risk.
5. Acceptable Use
You agree to use the Site lawfully and respectfully. You agree not to:
Use the Site for any unlawful, fraudulent, or harmful purpose;
Copy, scrape, harvest, or collect information about Vendors or other users without permission;
Interfere with or disrupt the Site, its security, or its servers;
Post or transmit content that is defamatory, harassing, abusive, obscene, or infringing;
Impersonate any person or misrepresent your affiliation with any person or entity;
Attempt to gain unauthorized access to any portion of the Site or any account.
6. Intellectual Property
The Site and its content — including the Built By Us name, logo, text, graphics, design, and other materials we create (excluding Vendor-provided content) — are owned by Built By Us LLC or its licensors and are protected by intellectual property laws. You may not use, reproduce, or distribute our content without our prior written permission. Vendor listings and content belong to the respective Vendors.
7. Third-Party Links and Sites
The Site contains links to Vendor websites and other third-party sites. We do not control and are not responsible for the content, products, policies, or practices of any third-party site. Visiting third-party sites is at your own risk, and their terms and privacy policies — not ours — apply to your activity there.
8. Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any content is accurate or complete.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Built By us LLC and its owners, officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or any transaction with a Vendor. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100).
10. Indemnification
You agree to indemnify and hold harmless Built By Us LLC and its owners, officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.
11. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above. Your continued use of the Site after changes take effect means you accept the updated Terms.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of [State of Formation], without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be resolved in the state or federal courts located in South Dakota and you consent to their jurisdiction.
